These Terms of Service ("Terms") govern your access to and use of the Opes Ledger application and website at opesledger.ca (the "Service"), operated by Opes Ledger ("we," "us," "our"). Please read these Terms carefully before using the Service.
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
Opes Ledger is a personal finance management application designed for Canadian users. The Service allows you to:

The Service is offered through the following subscription tiers:

All prices are in Canadian Dollars (CAD) and are subject to applicable taxes. We reserve the right to modify pricing with at least 30 days' advance notice to active subscribers.
Subscriptions are billed on a recurring monthly basis. Your billing cycle begins on the date you first subscribe and renews automatically each month on the same date (or the nearest available date if the original date does not exist in a given month).
Payments are processed through Stripe, a PCI-compliant third-party payment processor. We do not store, process, or have access to your payment card information. All payment data is handled directly by Stripe in accordance with its own terms and privacy policy.
If a payment fails, we will attempt to process the charge up to three additional times over a period of 10 days. If all attempts fail, your account may be downgraded or suspended until payment is resolved.
You may cancel your subscription at any time through your account settings or by contacting us at legal@opesledger.ca. Upon cancellation:
Subscription fees are generally non-refundable. However, if you cancel within the first 14 days of your initial subscription and have not made substantial use of the Service, you may request a full refund by contacting legal@opesledger.ca. Refund requests are evaluated on a case-by-case basis at our reasonable discretion.
You may upgrade or downgrade your subscription tier at any time. Upgrades take effect immediately and are prorated for the remainder of the current billing period. Downgrades take effect at the start of the next billing period. Features associated with a higher tier will become unavailable upon downgrade, but your data will be retained.
When using the Service, you agree to:
The Service, including but not limited to its source code, object code, software, user interface designs, visual layouts, algorithms, calculation logic, data models, documentation, graphics, logos, trademarks, and all other proprietary materials, are the exclusive property of Opes Ledger and are protected by Canadian and international copyright, trademark, and intellectual property laws.
You may not, and may not permit any third party to:
You retain all ownership rights to the financial data and personal information you enter into the Service. By using the Service, you grant us a limited, non-exclusive license to store, process, and display your data solely for the purpose of providing the Service to you. This license terminates when you delete your account or your data is otherwise removed from our systems.
Opes Ledger is a personal finance tracking and planning tool. It is not tax preparation software and is not authorized, endorsed, or certified by the Canada Revenue Agency (CRA). While the Service may reference CRA rules, tax brackets, or tax concepts (for example, in relation to mortgage recycling or investment interest deductibility), these references are provided for informational and planning purposes only and do not constitute tax advice.
You should not rely on the Service to prepare, file, or validate your tax returns. Always consult a qualified tax professional or refer directly to CRA publications for tax-related decisions.
The Service does not provide financial, investment, or legal advice. Features such as the scenario calculator, borrowed investing tools, and mortgage recycling tracker are planning and organizational tools only. The outputs, projections, and calculations provided by the Service are based solely on the data and assumptions you provide and should not be construed as recommendations to take or refrain from taking any financial action.
We strongly recommend that you consult with a qualified financial advisor, accountant, or legal professional before making significant financial decisions.
Opes Ledger is not a bank, credit union, brokerage, investment dealer, or financial institution of any kind. We do not hold, manage, invest, or transfer your money. We do not have access to your bank accounts, investment accounts, or any other financial accounts. The Service is a record-keeping and planning tool that operates solely on data you manually enter.
While we strive to ensure the accuracy of all calculations, projections, and reports generated by the Service, we do not warrant that they are error-free. The accuracy of any output depends on the accuracy and completeness of the data you provide. You are responsible for verifying all calculations and outputs independently before relying on them for any purpose.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OPES LEDGER, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
IN ANY EVENT, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO US IN SUBSCRIPTION FEES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You acknowledge that the limitations of liability set out in this section are essential elements of the agreement between you and Opes Ledger, and that we would not provide the Service to you without these limitations.
You agree to indemnify, defend, and hold harmless Opes Ledger and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
You may close your account at any time by using the account deletion feature within the Service or by contacting us at legal@opesledger.ca. Termination of your account is subject to the cancellation terms set out in Section 5.4.
We may suspend or terminate your account and access to the Service, with or without notice, if:

We strive to maintain the availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, upgrades, or circumstances beyond our reasonable control.
We reserve the right to modify, update, or discontinue features of the Service at any time. If we make material changes that significantly reduce the functionality of your subscription tier, we will provide at least 30 days' notice and, at your option, allow you to cancel your subscription without penalty.
These Terms and any disputes arising out of or related to the Service shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
You agree to submit to the exclusive jurisdiction of the courts of the Province of Ontario, located in the City of Toronto, for the resolution of any disputes arising out of or related to these Terms or the Service.
Before initiating any formal legal proceeding, you agree to first contact us at legal@opesledger.ca and attempt to resolve the dispute informally. We will make good-faith efforts to resolve any dispute within 30 days of receiving your notice.
We may update these Terms from time to time. When we make changes:
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Opes Ledger regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by us.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, sale of assets, or by operation of law, provided that your rights under these Terms are not materially diminished.
We shall not be liable for any delay or failure to perform our obligations under these Terms if such delay or failure results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure outages, pandemics, war, or civil unrest.
These Terms are drafted in English. In the event of any conflict between an English version and a translated version, the English version shall prevail.
